Clearance for Companies Bill, 2012 from Rajya Sabha

Rajya Sabha today passed the Companies bill, 2012. The bill was passed by the lower house in 2012. It was tabled in the upper house today and will bring international best practices to Indian businesses. 

The  new legislation will provide for class action lawsuit to be filed. The bill also stipulates a new company law tribunal to be set up.

Relaxation of additional fees and extension of last date in filing of various forms with MCA


In continuation of the Ministry's General Circular No: 03/2013 dated 08-02-2013 on the subject cited, I am directed to inform you that with the approval of competent authority the time limit for filing and relaxation of additional fee on forms has been extended till 31-03-2013, as detailed below:-

2. The scenario arising where the due date was falling before 17/01/2013, however, additional fee increased due to non-filing of documents between 17/01/2013 and 28/02/2013 (both days inclusive). The affirmative step based on the ticket raised by ROC and the additional fee mentioned therein, will be:-

Due date for Filing of Balance Sheet & Profit & Loss Account in XBRL Mode is extended upto 28.02.2013

In continuation of Ministry's General Circular Nos: 16/2012 dated 06.07.2012, 34/2012 dated 25.10.2012, 39/2012 dated 12.12.2012 and 01/2013 on the subject cited above, it is stated that the time limit to file the financial statements in XBRL mode without any additional fees/ penalty has been extended upto 28th February 2013 or within 30 days from the due date of Annual General Meeting of the Company, which ever is later.

MCA relaxes additional fees and extension of last date in filing of various forms with the Ministry of Corporate Affairs


I am directed to inform you that the Ministry of Corporate Affairs has decided to extend the last date of filing and to relax the additional fees applicable on forms as per the provisions of Companies Act read with rules made there-under, which have been ought to be filed post transition of MCA 21 w.e.f. 17.01.2013, but could not be filed due to technical issues in MCA-21 system.

MCA acknowledges the Lapse of Services on MCA21 project


Ministry of Corporate Affairs acknowledges that services on MCA 21 are not of the fullest satisfaction of the stakeholders for last few days. The Ministry is seized of the matter and taking all necessary steps for smooth functioning of MCA21. Further that Ministry will consider appropriate & due waiver of the additional fee or any other issue being faced by stakeholders due to non-filing of information because of problems in MCA21 system in last few days.

Filing of Cost Audit Report and compliance report in the XBRL mode extended upto 28.02.2013


In continuation of MCA's General Circular Nos. 8/2012, dated 10-5-2012 [as amended on June 29, 2012], 18/2012, dated 26-7-2012 and43/2012, dated 26-12-2012, it has been decided that all cost auditors and the companies concerned are allowed to file their Cost Audit Reports and Compliance Reports for the year 2011-12 [including the overdue reports relating to any previous year(s)] with the Central Government in the XBRL mode, without any penalty, within 180 days from the close of the company's financial year to which the report relates or by February 28, 2013, whichever is later. The institute is requested to circulate this for the information of all concerned.

MCA extends Due Date upto 15.02.2013 for Filing of Balance Sheet and Profit and Loss A/c in XBRL mode for the financial year commencing on or after 01.04.2011

MCA - Extension of time period for Filing of Cost Audit Report and Compliance Report in XBRL mode.


In continuation of MCA’s General Circular Nos. 8/2012 dated May 10, 2012 [as amended on June 29, 2012] and 18/2012 dated July 26, 2012, it has been decided that all cost auditors and the  companies  concerned  are allowed to file their Cost Audit Reports and Compliance Reports for the year 2011-12 [including the overdue reports relating to any previous year(s)]  with the Central Government  in the XBRL  mode, without any penalty, within 180 days from the close of the company’s financial year to which the report relates or by January 31, 2013, whichever is later. The Institute is requested to circulate this for the information of all concerned.

Key Highlights of "The Companies Bill, 2012"


The much awaited Companies Bill, 2012 (Bill) was passed by the Lok Sabha on December 18, 2012, replacing 56-year-old Companies Act, 1956. The Bill seeks to consolidate and amend the law relating to the companies and intends to improve corporate governance and to further strengthen regulations for corporates.

The Bill is divided into 29 chapters, 470 clauses and 7 schedules.

CG amends the Form 23C "Application to CG for Appointment of Cost Auditor"


G.S.R. 906(E). – In exercise of the powers conferred by sub-section (1) of section 642 read with section 610B of the Companies Act, 1956 (1 of 1956), the Central Government hereby makes the  following rules further to amend the Companies (Central Government’s) General Rules and Forms, 1956, namely: – 

1.   (1) These rules may be called the Companies (Central Government’s) General Rules and Forms (Seventh Amendment) Rules, 2012.

Corrigendum to Circular No. 39/2012 relating to Filing of Financials in XBRL Mode


Ministry of Corporate Affairs Amends the Circular No. 39/2012 by issuing Circular 41/2012 which provides for filing of Balance Sheet & Profit & Loss Account in XBRL Mode for FY commencing on or after 01.04.2011.

Lok Sabha approves Companies Bill


The Lok Sabha on Tuesday approved the much-awaited Companies Bill, 2011, making it mandatory for profit-making companies to spend on activities related to corporate social responsibility (CSR). If a company does not do so, it will have to explain the reasons for it.

The Bill, aimed at improving corporate governance, also contains provisions to strengthen regulations for companies and auditing firms.

Annual Filing of ROC Forms under XBRL mode extended upto 15th January 2013

As per General Circular number 39/2012 dated 12.12.2012, time limit to file financial statements in XBRL mode (for the financial year commencing on or after 01.04.2011) without any additional fee has been extended upto 15th January´2013 or within 30 days of AGM of the company , which ever is later.
